SpinSpotter, Inc. ("SpinSpotter", "us" or "we") respects the privacy of the visitors to the SpinSpotter Website, the home page of which is located at http://www.spinspotter.com (the “Website”), and users of the SpinSpotter Toolbar (collectively with the Website, the “Services”).

This privacy policy (the "Privacy Policy") is intended to inform you of our policies and practices regarding the collection, use and disclosure of any Personal Information and Anonymous Information you submit to us through our Services and/or the SpinSpotter toolbar (the "Toolbar"). Unless otherwise defined herein, capitalized terms shall have the meanings assigned to such terms set forth in the Terms of Service for the SpinSpotter Services (http://www.spinspotter.com/terms) ("Terms of Service") and any SpinSpotter Toolbar License Agreement (http://spinspotter.com/terms).

"Personal Information" is information about you which could be used to personally identify, contact or locate you, like your name, address, e-mail address, or phone number, as well as other non-public information that is associated with the foregoing.

"Anonymous Information" means information that is not associated with or linked to your Personal Information; Anonymous Information does not permit the identification of individual persons.

We collect and use Personal Information and Anonymous Information as described in this Privacy Policy.

User Consent

By visiting the Website or otherwise using the Services, you agree to the terms of this Privacy Policy and you expressly consent to the processing of your Personal Information according to this Privacy Policy.

Personal Information You Provide to Us

SpinSpotter collects Personal Information about you (such as your name, email address, age, preferences, etc.) that you enter on the Website or otherwise provide to us in any other way. You can opt not to provide us with certain information, but then you may not be able to take advantage of some of our special features. The Personal Information we gather from you is used for purposes such as helping us learn about our members and potential members of our community and the users of the Toolbar, allowing you to interact with other users, customizing the advertising and content that you see, and communicating with you about new features. We collect Personal Information that you submit to us voluntarily through our Service and/or the Toolbar. The types of Personal Information we collect are:

• - When you sign up for our SpinSpotter Services, we will collect your email address and username.
• - When you personalize your SpinSpotter Profile, we will collect any information you provide, such as your name or gender, date of birth, and any other optional information about you, your lifestyle, and your interests.
• - When you enter any information, including Personal Information, into any postings or comments within the SpinSpotter Services, we will collect such information and this information might be available for some, a subgroup of, or even all members of the SpinSpotter Services, depending on how and where this information was posted by you (see Use of Information below).
• - When you leave us feedback, we will collect any information that is contained in your feedback.
• - When you contact us by sending us an e-mail, we will collect your e-mail address and any information contained in the e-mail you send us.

The SpinSpotter Profile you create when you sign up for our SpinSpotter Services contains Personal Information such as your name, username, and email address. All the information in your SpinSpotter Profile, including Personal Information, that you select to be publicly displayed will be public information and any SpinSpotter Member will be able to view it. Your username will always be publicly displayed.

Personal Information Collected Via Technology

As you navigate and interact with our Website or use the SpinSpotter Services, certain information may also be collected automatically, including your Internet protocol address, browser type, operating system, time of day, general physical location, and browser language. SpinSpotter uses this information only in the aggregate, as a statistical measure and not in a manner that would identify you personally, to determine the composition of our userbase and how often customers use certain feaures of the Services, and to determine the load on our servers, so that we can improve our services and serve you better. If you are using or logged into the SpinSpotter Services, the SpinSpotter Toolbar will transmit to SpinSpotter's servers information regarding which pages you view. This enables us to match the spin markers to the page you are viewing.

Periodically, the Toolbar contacts our servers to see if you are running the most current version of the Toolbar. If necessary, we will automatically provide you with the latest update to the Toolbar.

An "Internet protocol address" or "IP Address" is a number that is automatically assigned to your computer when you use the Internet. In some cases your IP Address stays the same from browser session to browser session; but if you use a consumer internet access provider, your IP Address probably varies from session to session. We track IP Addresses solely in conjunction with session cookies to analyze our web page flow.

"Cookies" are small pieces of information that a website sends to your computer's hard drive while you are viewing a website. Cookies can identify you as a unique user of the Website. Upon your first use of the Toolbar, SpinSpotter sends a Cookie to your computer. We may use both session Cookies (which expire once you close your web browser) and persistent Cookies (which stay on your computer until you delete them) to provide you with a more personal and interactive experience on the Website. Persistent Cookies can be removed by following Internet browser help file directions. If you choose to disable Cookies, some areas of the Website may not work properly.

SpinSpotter uses Cookies to store your preferences. SpinSpotter will not disclose its Cookies to third parties except as required by a valid legal process such as a search warrant, subpoena, statute, or court order. Most browsers are initially set up to accept cookies. You can reset your browser to refuse all cookies or to indicate when a cookie is being sent. Be aware, however, that the Toolbar may not function properly and you may not be able to utilize all of the functionality of the Services if you refuse cookies. We may use information collected about you to deliver to you websites, advertisements, or other content we think may be of interest to you.

We may also contract with third parties in order to promote the products and/or services of these third parties by placing ads on the Website. We may use information that was posted by members of the SpinSpotter Services to tailor the display of ads to the interest of the members of our community. Clicking on such ads will direct you to the website of the third party and the third party may also use Cookies in connection with these ads. Please be advised that we are not responsible for these other websites or any content on these other websites and that this Privacy Statement does not govern your visit of these other websites.

Personal Information We Receive From Other Sources

We may receive Personal Information about you from other sources like telephone or fax, or from third parties that provide services for us in connection with the SpinSpotter Services. We may add this information to the information we have already collected from you via our Website or through the Services in order to improve our community and our Services.

Email Communications

We may receive a confirmation when you open an email from SpinSpotter if your computer supports this type of program. We use this confirmation to help us make emails more interesting and helpful. We also compare our customer list to lists received from other companies, in an effort to avoid sending unnecessary messages to our customers. If you do not want to receive email or other mail from us (other than your registration confirmation and other system-related emails from us), please indicate your preference during the registration process or by making a modification on your account page.

Use of Information

In general, Personal Information you submit to us is used by us either to sign you up for our community, respond to requests that you make, to improve our community and Services, and to better tailor the features, performance, and support of the Services and the Toolbar, and to offer you additional information, opportunities, and functionality. We may also use your Personal Information to provide you with electronic newsletters or promotional e-mails, should you request to receive such communications from us.

Please be aware that if you enter any Personal Information into publicly available sections of the SpinSpotter Services, this information will be displayed to anyone who has access to these sections. These publicly available sections of the SpinSpotter Services include, without limitation, posts and comments of other SpinSpotter Members.

We may create Anonymous Information records from Personal Information by excluding information (such as your name) that makes the information personally identifiable to you. We may use this Anonymous Information to analyze usage patterns so that we may enhance our community and Services. We reserve the right to use and disclose Anonymous Information to third parties in our discretion.

If your account is terminated as allowed under the Terms of Service, we may choose to maintain all data collected from your use of the SpinSpotter Services, including Personal Information.

Ratings and Feedback

When you click on the rating buttons within the Services, you are explicitly sending information about your opinion regarding the importance or usefulness of the Spin Marker or Spin Description in question. SpinSpotter uses this information in order to gauge the importance or usefulness of the respective Spin Marker or Spin Description, and also to determine your Trust Rating within the system.

If you provide feedback to us, we may use and disclose such feedback for any purpose, provided we will not associate such feedback with your Personal Information. We will collect any information contained in such communication and will treat the Personal Information in such communication in accordance with this Privacy Policy.

Disclosure of Personal Information

We may share some aggregate information about our userbase and how our customers, collectively, use the Website, with sponsors and business partners. For example, we may disclose how frequently the average SpinSpotter user creates a Spin Marker or forwards a Spin Marker to friends. We share this type of statistical data so that our partners understand how people use their services and the Website so that they may provide you with an optimal online experience. SpinSpotter will not disclose aggregate information to a partner in a manner that would identify you personally without your consent.

We do not trade, rent, or share your Personal Information with third parties without your express written consent, except as set forth below:

Spin Markers and Articles: If you share a Spin Marker or Article with a friend through the SpinSpotter Services email service, we will disclose your email address to the recipient.

Agents: We may provide your Personal Information to third party service providers who work on behalf of or with us to provide some of the services and features of the SpinSpotter community and Services and to help us communicate with the members of our community. However, these service providers do not have any independent right to share this information (expect pursuant to a legal requirement such as a subpoena or warrant). You hereby consent to our sharing of Personal Information for the above purposes.

Public Information: Any information contained on publicly available portions of the SpinSpotter website (e.g. member profiles or other areas that are not password protected) may be "crawled" by third party search engines. As a result, any Personal Information you include on such publicly available portions of the SpinSpotter website may be accessible through search engines in search results. Moreover, any information you place on publicly available portions of the website, including Personal Information, is accessible by any third party and is not subject to this Privacy Policy.

Affiliates: We may share some or all of your Personal Information with any subsidiaries, joint ventures, or other companies under a common control with us ("Affiliates"), in which case we will require our Affiliates to honor this Privacy Policy.

User Profiles and User Submissions: Your user profile information including username, email address, and other information you enter (“User Submissions”) may be displayed to other users to facilitate user interaction within the Website. Email addresses are used to add new User Submissions to user profiles and to communicate through User Submissions. Users’ email addresses will not be directly revealed to other users by us, except when the user is "connected" to another user via a shared group membership or an invitation, or if the user has chosen to include their email address in their user profile.

Communication in Response to User Submissions: As part of the Services, we will send you email and other communication relating to your User Submissions. You acknowledge and agree that by posting such User Submissions, we may send you email and other communication that we determine in our sole discretion relates to your User Submissions.

Promotional Offers: We may send offers to you on behalf of other businesses if you have agreed to be solicited by marketing partners during the registration process. However, when we do so, we do not give the other business your name and address. If you do not wish to receive these offers, please send an email with your request to privacy@spinspotter.com.

Protection of SpinSpotter and Others: We may disclose your Personal Information if we believe in good faith that such disclosure is necessary to (a) comply with relevant laws or to respond to subpoenas or warrants served on us; (b) to protect and defend the rights, safety or property of us, our employees, Users and Visitors of our Website, or others or (c) to enforce or apply our Terms of Service, other conditions of use, or other agreements

Business Transfers: If SpinSpotter or our assets are acquired by another company, we may transfer to the acquirer the Personal Information collected by us, and the acquirer will assume the rights and obligations regarding your Personal Information as described in this Privacy Policy. We may transfer your specific Personal Information in connection with a merger, acquisition, or purchase or sale of assets. Also, in the unlikely event that SpinSpotter goes out of business or enters bankruptcy, customer information would be one of the assets that is transferred or acquired by a third party. If the acquiring entity's processing of your information will materially differ from that set forth in this Privacy Policy, we will notify you via posting on our web site.

Your California Privacy Rights

Our customers who are California residents may request and obtain from us once a year, free of charge, certain information about the personal information (if any) we disclosed to third parties for direct marketing purposes in the preceding calendar year. If applicable, this information would include a list of the categories of personal information that was shared and the names and addresses of all third parties with which we shared information in the immediately preceding calendar year. We allow you to access the following information about you for the purpose of viewing, and in certain situations, updating that information. This list will change as the Services change:

Your Choices Regarding Your Personal Information

As stated previously, you can always opt not to disclose information to us, even though that information may be needed to take advantage of certain features of the Services.

We offer you choices regarding the collection, use, and sharing of your Personal Information. When you receive newsletters or promotional communications from us, you may indicate a preference to stop receiving further communications from us and you will have the opportunity to "opt-out" by following the unsubscribe instructions provided in the e-mail you receive.

Despite your indicated e-mail preferences, we may send you administrative e-mails regarding our community and Services or notices of any updates to our Terms of Service for the SpinSpotter Service, any Toolbar License Agreement, or Privacy Policy. Please note that if you opt not to receive these types of legal notices from us, they will still govern your use of the Services and you will continue to be responsible for reviewing such legal notices for changes.

You may change any of the Personal Information in your SpinSpotter Profile by editing it.

You may add or update certain information in your SpinSpotter account. When you update information, however, we often maintain a copy of the unrevised information in our records.

Regarding Children

We do not intentionally gather Personal Information about Visitors or Users who are under the age of 13.

Other Sites

Our provision of links or access to other websites or locations is for your convenience and does not signify our endorsement of such other websites or location or its contents. As such, SpinSpotter takes no responsibility for them, or their content. These other sites may send their own cookies to users, collect data, or solicit personal information. Please be aware that the terms of our Privacy Policy do not apply to these outside websites, or to the practices of companies that SpinSpotter does not own or control, or individuals that SpinSpotter does not employ or manage.

Security

We use reasonable measures to maintain the security of your Personal Information. However, no company, including us, can fully eliminate security risks associated with Personal Information. Unauthorized entry or use, hardware or software failure, and other factors, may compromise the security of user information at any time.

Your SpinSpotter account is protected by a password for your privacy and security. You should prevent unauthorized access to your account and Personal Information by selecting and protecting your password appropriately and limiting access to your computer and browser by signing off after you have finished accessing your account.
